Community Guidelines

CoolProducts.com accounts are intended for personal use, basically to allow our members to post comments on products, to share product ideas for commissions and to participate in our community. Community Guidelines are here to help you understand what it means to be a member of CoolProducts.com. Your use of CoolProducts.com is subject to these Guidelines and our Visitor Agreement.

  We're a community of many types of participants, who all have the right to feel comfortable and who may not think what you think, believe what you believe or see what you see. So, please be polite and respectful in your interactions with other members.
  Do moderate your content.
  Take responsibility for ensuring that what you submit is appropriate. If your judgment proves to be poor, we'll moderate your comments or submitted products and send you a warning.
  Do link back to CoolProducts.com when you post CoolProducts.com finds and content elsewhere.
  The CoolProducts.com service makes it possible to post content hosted on CoolProducts.com to outside web sites. However, pages on other web sites that display content hosted on CoolProducts.com must provide a link from each product or video back to its page on CoolProducts.com.

  We like to give the benefit of the doubt.
  We'll send you a warning if you step across any of the lines listed below. Subsequent violations can result in account termination without warning.
  Please don't vent your frustrations, rant, or bore the brains out of other members.
  CoolProducts.com is not a venue for you to; harass, abuse, impersonate, or intimidate others. Please help us not to receive a valid complaint about your conduct. We will be forced to send you a warning or terminate your account.
  Don't submit content that is illegal or prohibited.
  If we find you doing that, your account will be deleted and we'll take appropriate action, which may include reporting you to the authorities.
  Don't submit anything that is clearly marked as do not share.
  This includes products that merchants have clearly marked as proprietary and cannot be shared with others on the Internet. This does not happen very often and we do not understand why any merchant would not want to get the word out about their products, but if they do, save us all the embarrassment of a legal notification. Accounts that consist primarily of such collections may be terminated at any time.
  Don't forget the children.
  Take the opportunity to filter your content responsibly. If you would hesitate to show products posted here to a child, your mother, or Aunt Lenna, that means it needs to be filtered. So, ask yourself that question as you submit your content and moderate accordingly. If you don’t, it’s likely that your account will be reviewed then either moderated or terminated by CoolProducts.com staff.
  Don't be scary.
  Try to be friendly and helpful. Don't be angry or creepy.
  Don't use CoolProducts.com comments to promote outside sites.
  CoolProducts.com is for creating a group of product suggestions that can potentially earn you commissions through CoolProducts.com. If you try to sell services or yourself through your posts or comments we may terminate your account. Any other commercial use of CoolProducts.com, CoolProducts.com technologies (including APIs, etc), or CoolProducts.com accounts must be approved by CoolProducts.com. Privacy Policy

We respect and are committed to protecting your privacy. We may collect personally identifiable information when you visit our site. We also automatically receive and record information on our server logs from your browser including your IP address, cookie information, and the page(s) you visited. Information Sharing and Disclosure: We will not sell your personally identifiable information to anyone.

This policy is used to handle personal information collected about visitors to our site. Heart of America E-Commerce LLC is the parent company of CoolProducts.com. This Privacy Policy is effective upon acceptance in registration for new registering members, and is otherwise effective on January 1, 2008 for all members.
Information Collected at Registration
To take advantage of the rewards associated with making product suggestions, rating products, or commenting on products, you must register for our service and become a CoolProducts.com Member. We collect personal information only when you register with us. Your information is not shared with the community or with partners unless you opt to do so. CoolProducts.com may combine information about you with information we obtain elsewhere. But any information we have about you is not shared elsewhere. During registration, we require members to give us basic contact information (such as your first name, last name and e-mail address) and demographic information (such as your zip code, age and gender). The registration form information requests may change from time to time. Although additional demographic information may be requested at the time of registration, only information marked "required" is necessary for registration and utilization of our services. Once you register with CoolProducts.com, you are not anonymous to us.

We do not accept registrations from persons under the age of eighteen. The CoolProducts.com Rewards Program is available only to persons who are eighteen years of age and over. The site will automatically block enrollment of any person once they indicate they are under the age of eighteen. If we later learn that a user is under the age of eighteen, we will terminate the account and delete the user's information. Inherent in the Program is the responsibility of parents and/or guardians to ensure that their children's privacy is protected. We do not collect information from children. CoolProducts.com will not be liable for any content viewed by minor children in violation of the terms of this agreement.
Information Collected Via Online Promotions
From time to time we may provide you the opportunity to participate in contests or sweepstakes. If you choose to participate, we will request certain personally identifiable information from you. Participation in these contests is completely voluntary and you therefore have a choice as to whether or not to disclose this information. The requested information typically includes contact information (such as name and shipping address) and demographic information (such as gender and zip code). We use this information to notify contest winners and award prizes. We may also use the information gathered to better personalize your CoolProducts.com program experience.

Although we do not currently do so, we may use a third party service provider to conduct these surveys, contests and sweepstakes. That company will be prohibited from using your personally identifiable information for any other purpose. We will not share the personally identifiable information you provide to us through a contest, sweepstakes or survey with any third party unless we give you prior notice and choice.
Use and Disclosure of Personal Information
We do not rent or sell your personal information to anyone without your express consent. In a hypothetical situation when we might share data with your express consent, with an advertiser it will be in aggregate form and will be designed to ensure you are not identified personally. In order to provide you with information about offers and services you have indicated an interest in, we may provide certain of your personal information to specific advertisers to allow them to provide information about the offer or service to you in the most convenient and meaningful form. Also, by participating in an advertiser's offer, you are authorizing us to share your relevant personal information with the advertiser responsible for the offer. In the event either we or a participating advertiser are unable to capture your transaction detail, we may need to provide certain of your personal information to the advertiser to validate your transaction with them to ensure that your account is credited with the correct number of points. However, before any personal information is provided to an advertiser for any such purpose, the advertiser will be contractually bound to observe the strict requirements of the CoolProducts.com Privacy Policy.

CoolProducts.com engages in email and direct mail marketing. Because email is an integral part of the program, you sign up to receive email targeted to your interests at the time of registration. If you later decide you wish to cease participation in this portion of the program, you may do so at any time by sending an email to memberservices@coolproducts.com. To further ensure we have your consent, we make sure each e-mail we send you contain an additional opportunity to 'opt out' of receiving future e-mails. If you are not interested in receiving either e-mail or direct mail marketing, you may choose to opt out from receiving the e-mail or close your membership. As long as you remain a CoolProducts.com member, opting not to receive email does not exempt you from receiving administrative emails, which include, but are not limited to, notices about vital program and membership status changes or alterations to our Terms of Service.
Access to Personally Identifiable Information - Opt In/Opt Out

Member Communications and Email
CoolProducts.com employs a strict policy against sending unsolicited email. Because email is an integral part of the program, you sign up to receive email targeted to your interests at the time of enrollment. If you later decide you wish to cease participation in this portion of the program, you may do so at any time by adjusting your email settings in the Account Settings section of your account or by clicking on the opt-out links contained within each CoolProducts.com email or by sending an email to by sending an email to memberservices@coolproducts.com.

Please note that opting not to receive email does not exempt you from receiving administrative emails that include but are not limited to, notices about vital program and membership status changes, Privacy Policy and Visitor Agreement Terms of Service updates and purchase and redemption confirmation emails. Members may also receive CoolProducts.com program offers via telephone or postal mail. We contact you with offers we think you are interested in. Members may opt out of either or both of these communications by sending a request to memberservices@coolproducts.com. Our staff may contact you in response to your inquiries, to provide services at your request and to manage your account. We will communicate with you by email, telephone or fax in accordance with your wishes.
CoolProducts.com Advertisers and 3rd Party Websites
The CoolProducts.com website and emails contain links to various other sites. While CoolProducts.com makes every effort to ensure that our advertisers post clear and complete Privacy Policies and observe appropriate data practices, each of these sites has a privacy policy that may differ from that of CoolProducts.com. The privacy practices of other websites and companies are not covered by this policy.

Except as specifically set forth below, it is our policy not to provide your personally identifiable information to our advertisers unless you make the choice to share it with them. We occasionally pass personally identifiable information via a secure interface to certain of our advertisers for the purpose of making it easier for you to sign up for their offers. However, this information is only to be used by the advertiser if you agree to submit the information to the advertiser for the purposes of completing an offer.

We occasionally hire other companies to provide limited services on our behalf, such as handling the processing and delivery of mailings, providing customer support, processing transactions, or performing statistical analysis of our services. We will only provide those companies the personal information they need to deliver the service. They are required to maintain the confidentiality of your information and are prohibited from using that information for any other purpose.

In the event that we were unable to capture your transaction detail, CoolProducts.com may need to validate your transaction with an advertiser or merchant partner to ensure that your account is credited with the correct number of Points or to ensure delivery of a product purchased by you. The validation information shared is used solely for this purpose and may include your first name, last name, email address, mailing address or date of birth. We will require that these third parties comply with the information practices set forth in this Privacy Promise and that the information not be shared or used for any other purpose.

We may share non-personally identifiable information collected via the program in aggregate, anonymous form with advertisers or other third parties so that they may better evaluate what products and services are most appealing to different segments of our member base. We do not disclose your first name, last name, address, email address, or any other personally identifiable information to these third parties unless you give your express consent.

We occasionally send the information we gather about our members to trusted third-party data processors to organize, process and/or analyze the data on our behalf. We use this information to enhance our program offerings, namely to tailor updates, and offers to your particular interests and to ensure that your opt-out requests are honored. All such third-party data processors are prohibited from using your personal information except to provide these services to CoolProducts.com. They are contractually bound to observe the strict policy stated herein, so you can rest assured that the confidentiality of your personally identifiable information will be maintained.
Data Verification and Supplementation
Data verification involves the use of third-party data processing services to standardize and clean your provided enrollment information so that it is easily identified and accessed in our database. Data supplementation involves appending any publicly available information about you to your personal profile. In order to provide you with the most rewarding experience, we might send your information to data processors so that they can clean your address and standardize to ensure it is most accurate and up-to-date. Next, we might seek out any information about you that is publicly available on the open market and overlay this data onto ours for comparison purposes. Information collected in this manner could include your spending habits from a mail-order catalogue, demographic information you provided in entering a sweepstakes, or your financial history. All of this results in a program that is tailored to your personal interests and provides you with the most relevant rewards opportunities.

We use this information solely for the purpose of enhancing the offerings of the CoolProdcuts.com Program, namely to tailor updates, rewards and spending offers to your particular interests. All such third-party data processors are contractually bound to observe the strict policy stated herein, so you can rest assured that the confidentiality of your personal information will be maintained.
Information Collected though Participation in the CoolProducts.com Program
When you sign in to the CoolProducts.com website, the server automatically recognizes you by your cookie. This cookie acts as a unique identifier, which allows us to personalize the website to your specified interests and allows you to access your personal information. It also allows us to keep track of your activity on our site and allows us to properly credit rewards to your account. This information may be added to your personal profile and used to deliver offers that are most relevant to your interests. The program makes active use of third-party cookies; therefore, full participation in the Program is dependent upon you setting your browser configuration to accept third-party cookies. We also use cookies to tailor the program to your interests and, most importantly, to ensure that only you can access your account. We also review "log-file" data to monitor site performance and analyze traffic patterns and usage of our site.

CoolProducts.com also retrieves the following information from your browser:
- Your browser type (e.g., Internet Explorer 7.0)
- Platform-dependent information (e.g., Windows Vista)
- Requested document (the page you're looking at)
- Referrer URL (the page you came from if within the CoolProducts.com site)
- Date and time of your visit
- Your registered CoolProducts.com account information
- Purchase transaction detail (from merchants on the CoolProducts.com site)
- IP address associated with member transaction in the system
Additionally, for each visitor to our website, our server automatically recognizes the following:
- Host origin of the request (your IP address or that of your ISP if using proxy servers)
- Requested document (the page you're looking at)
- Referrer URL (the page you came from if within the CoolProducts.com site)
- Your registered CoolProducts.com account information
- Date and time of your visit
This information, sometimes called log-file or click stream data, is used to monitor site performance and ensure the Program functions properly. It may also be appended to your personal profile so that we may further tailor the Program to your interests.

Many of our CoolProducts.com advertisers, affiliates and merchants also utilize third-party cookies to identify you as a CoolProducts.com member. This enables them to report your purchases back to CoolProducts.com so we are able to credit your account with rewards. We and our advertisers currently use third-party cookies and clear pixel GIFs (also referred to as "web beacons") to measure page views on both CoolProducts.com and advertisers' web sites and email responses. These devices allow us to identify unique visitors to CoolProducts.com, member visits to advertisers' sites, and act as a counter for ongoing monitoring of site, email and corresponding future transaction activity related to a specific offer for both CoolProducts.com and its advertisers. These commonly used counters collect absolutely no personal information and, as always, this technology is only used to enhance the program and make it more relevant to your personal interests.

Third-party cookies are also used to count unique page views, email responses and future transaction activity corresponding to specific offers. CoolProducts.com will also capture and store your transaction details, which may include the items and quantities purchased, purchase price, date and time of purchase. This information is used to credit rewards for purchases and to adjust your account balance in the event of returns and exchanges. This information is also used by the Member Services department while assisting you in resolving account inquiries. We may also use your transaction information to provide you more timely relevant offers, products and services.

We may amend this policy from time to time. If we make any material changes in the way we use your personally identifiable information collected at this site (www.CoolProducts.com) we will notify you by email and at the top of this Privacy Policy web page. Security
The information we collect from you is aimed to be as minimal as possible and is only collected as a requirement to our system working effectively. CoolProducts.com has established company-wide security practices for your protection. These practices include, but are not limited to, firewall security, the use of appropriate encryption technology, and the use of multiple levels of password security to limit access to data on a 'need-to-know' basis. All passwords are stored as a one-way MD5 hash encryption and are never seen in plain text.

We may use contractors or vendors to help us provide some of the services at our site. If we disclose personal information for them to provide the services, it is with the requirement that the information is kept confidential and used only for those services. All contractors and employees are required to familiarize themselves with, and abide by, these safeguards. We also guarantee never to sell your data to 3rd parties of any kind.

Who can earn Rewards on the CoolProducts.com Rewards Program?

Any individual 18 years or older and residing in the U.S and Canada may enroll in CoolProducts.com and become a member of our Rewards Program. Employees of HOAEC are not eligible to participate. Corporations or other business entities are not eligible to become Members. Membership and right to use is limited to one individual per account. CoolProducts.com allows only one email address per Member.
How to Earn Commissions

Registered community members are invited to research and post gift ideas for commissions. We hope to emphasize that the commission program is our best effort to be fair to the community and enhance the member’s experience. We never want a community member to feel that they are being taken advantage of in any way. Once you are logged in, ideas can be posted in our Participate Section either as;
1. Suggest by Category - i.e.; categories where we feel need the most help towards populating the catalog or
2. Quick Suggest – i.e.; categories of the member’s choice.
So, when a new product is found by a member, posted in the Cool Products Participate section, and approved by our community moderators - voting begins on the products "coolness" by the community. Community moderators have the task of policing suggested ideas to make sure they are appropriate. If approved by the moderator, the community begins voting on the new "appropriate" suggested product idea and when it achieves 66% member approval (20 out of 30 votes) the product is certified "cool" and becomes available in our homepage Shop section.

At this point we begin endeavoring to form a commissionable relationship with the product's merchant. If the merchant already has products on CoolProducts.com, this should be a simple task. Each member's suggested product that is community approved and published on CoolProducts.com begins accruing incremental commissions on each sale toward a maximum of $10 per product once the commissionable relationship is established. No commissions can be earned if the vendor representing the recommended product does not enter into a commissionable relationship with CoolProducts.com. If the merchant does not have a commission program:
1. CoolProducts.com will attempt to convince them to start one
2. CoolProducts.com will attempt to find a vendor who also carries the product and does pay a commission. (or)
3. If CoolProducts.com cannot find a commissionable situation, we will inform the community member of this situation and why we cannot reward their product find.
Community members will receive 5% of "our" commission on each sale up to a $10 total. As an example: if we receive a 10% commission on the sale, member receives 5% of that 10% & each of those small portions accrue until members account hits $10. Except for high ticket items it will likely take 40+ sales to get to $10.

If a product is discontinued by a commissionable merchant and cannot be found elsewhere as a commissionable product, by CoolProducts.com, member will receive the commissions accrued, even if they are less than $10. Commissions are not accrued until the merchant has transferred payment of the commission to CoolProducts.com for the individual sale. If a consumer returns the commissioned product to the merchant within the merchant"s allowable return guidelines, the sale will be reversed and the commission will be deducted from CoolProducts.com and the registered community member’s account if it was previously posted.
Commission Accrual

Commissions will be deposited in the member's account in as little as a few seconds to as much as 3 months after the commission is earned depending on the merchant program product feed.
Viewing Commissions

After they become a Registered Community Member in the Sign Up section of the site, CoolProducts.com members can view their current accounts online. The Community section of the site is restricted to members only and members must enter user name and password to view their suggested products and commission accrual.
Redeeming Commissions

CoolProducts.com members can redeem commissions as cash anytime after they have accumulated $10 per product. This section of the site is restricted to members only and members must be logged in with their official user name and password to redeem commissions. At present, members have a choice of redeeming commissions in one of the following ways:
- Check
- PayPal
- $10-$100 Gift Cards
Members will be asked to pick one (and only one) redemption method each time they redeem commissions.
Delivery of Commissions

For gift finding panel members who select the cash or gift card option, a check or card will be delivered through the U.S. mail to the address CoolProducts.com has on file for the member. Members are responsible for making sure mailing address is correct (an opportunity is provided to confirm address at the time of reward redemption). Furthermore, CoolProducts.com will mail checks or cards only to legal addresses located with the United States or Canada. The member should allow up to 4 weeks for receipt. The check will be made out to the individual who joined the CoolProducts.com panel on behalf of the household. Checks that are returned to CoolProducts.com as undeliverable will be voided and the commission value will be credited back to the members account as long as the membership is still in active status (e.g. member has not unsubscribed).

To deliver rewards it will be your responsibility to update your profiles: User Name, Name, Street Address, City, State, Zip, Phone, E-Mail, Age & Gender. We require age because applicants younger than 18 years of age are not allowed to participate in our panel or receive commissions.
Commission Redemption at Termination of Community Membership

Community Members who terminate membership will forfeit all commissions in their Rewards Program account. Those who wish to terminate community membership and have commissions in their account may choose to redeem any available commissions provided they have sufficient commission for reward redemption. Cash redemptions start at $10 in accrued commission per product. Any commission redemption must be done prior to officially unsubscribing. Those who have earned commissions in their account at termination forfeit all commissions.
Rewards Program Duration/Rewards Program Modification

CoolProducts.com reserves the right to terminate or modify the Rewards Program at its discretion at any time. Modifications may include (but are not limited to) additions or deletions to the list of ways commissions or rewards may be earned or modifications to commission values for existing methods of earning commissions moving forward. CoolProducts.com will alert its membership via email about any changes on or before the effective date. Such changes will also be posted on the relevant pages of the CoolProducts.com website on or before the date of implementation. Member understands the most recent version of this Agreement will be located on the Community portion of the CoolProducts.com Web site. Member's non-termination or continued use of the Rewards Program constitutes an affirmative acknowledgment by Member of any modification to the Visitors Agreement and Privacy Policy Agreement and consent to abide and be bound by any terms thereof. At any time, if Member does not agree with the Visitors Agreement and Privacy Policy agreement, Member may terminate Member's membership. CoolProducts.com reserves the right to modify or discontinue the Rewards Program with or without notice to Member. CoolProducts.com shall not be liable to Member or any third party should CoolProducts.com exercise its right to modify or discontinue the Rewards Program. Member's continued participation in the Program shall constitute an affirmative acknowledgment by Member of any amendment or modification to this Rewards Program and Member's consent to abide and be bound by said Rewards Program as amended or modified.
Limits of Liability

CoolProducts.com has no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession, or use of any community members commissions, rewards, or their cash value. CoolProducts.com is not responsible for lost, stolen or misdirected checks, gift cards or rewards sent to community members. Community Member expressly agrees that use of CoolProducts.com Reward Program is at the Member's sole risk. CoolProducts.com and all services offered therein are provided on a strictly "as is" and "as available" basis. COOLPRODUCTS.COM MAKES NO WARRANTY WITH REGARD TO ANY PRODUCTS, SERVICES, OR REWARDS OBTAINED BY MEMBERS THROUGH COOLPRODUCTS.COM REWARDS PROGRAM OR THROUGH COOLPRODUCTS AFFILIATE VENDORS; THAT COOLPRODUCTS.COM REWARDS PROGRAM WILL MEET MEMBERS' REQUIREMENTS; OR THAT COOLPRODUCTS.COM WILL BE UNINTERRUPTED, TIMELY, ERROR FREE; NOR DOES COOLPRODUCTS.COM MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF COOLPRODUCTS.COM REWARDS PROGRAM OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE USER PROFILE PAGE ON COOLPRODUCTS.COM. CoolProducts.com expressly disclaims any and all express and implied warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CoolProducts.com shall not be liable or responsible for those guarantees, warranties, and representations, if any, offered by CoolProducts.com vendor affiliates, manufacturers of merchandise, or suppliers of services. No advice or information, whether oral or written, obtained by Community Member from CoolProducts.com or through CoolProducts.com Rewards Program shall create any warranty not expressly made herein.
Limitation of Liability
COOLPRODUCTS.COM SHALL NOT BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL, RELATING TO THE PARTICIPATION OR INABILITY TO PARTICIPATE IN COOLPRODUCTS.COM REWARD PROGRAM. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES; SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Member acknowledges and agrees that CoolProducts.com neither endorses the contents of advertisements or third parties' Web sites, nor assumes responsibility or liability for the accuracy of material contained therein, or any infringement of third party intellectual property rights arising there from, or any fraud or other crime facilitated thereby.

CoolProducts.com is not responsible and assumes no liability for changes or discontinuances of service from providers which may affect offers or the accrual of commissions.

In no event shall CoolProducts.com liability, either jointly or severally, exceed $100.
Participation in Promotions of Vendor Affiliates, Merchants, Advertiser & Manufacturers
Member's correspondence with or participation in promotions of CoolProducts.com affiliates, merchants, advertisers, manufacturers and partners are solely between corresponding Member and the affiliates, merchants, advertisers, manufacturers and partners. CoolProducts.com assumes no liability, obligation, or responsibility for any part of any such correspondence or promotion, including without limitation withdrawal or modification of any offer or promotion.

Member understands that, in some cases, there may be delay in the crediting of commissions for promotions of advertisers or partners due to advertiser's or partner's failure to provide necessary information to CoolProducts.com for such crediting of commissions. CoolProducts.com will not be responsible or liable for the delay or failure to credit commissions in such event.
Indemnification
Member agrees to indemnify and hold CoolProducts.com, its affiliates, officers, and employees harmless from any claim, demand, expense, or damage, including reasonable attorneys' fees relating to use of CoolProducts.com Rewards Program or violation of this Agreement.
Laws
Any dispute or claim arising out of or in relation to this Agreement, or the interpretation, making, performance, breach, or termination thereof, shall be finally settled by binding arbitration in Kansas City, Kansas, under the Commercial Arbitration Rules of the American Arbitration Association by three arbitrators appointed in accordance with said Rules. Judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction thereof.

This contract shall be governed by the law of the State of Kansas, excluding its conflict of law principles. The arbitration proceedings shall be governed by federal arbitration law and by the Rules, without reference to state arbitration law.

Member and CoolProducts.com agree that, any provision of applicable law notwithstanding, neither party will request, and the arbitrators shall have no authority to award, punitive or exemplary damages against the other party.

This Agreement constitutes the complete and exclusive understanding between CoolProducts.com and Community Member relating to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, communications, and/or advertising with respect to such subject matter. If any provision(s) of this Agreement is held by the arbitrators to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect.

CoolProducts.com's failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by CoolProducts.com in writing.
Terms & Conditions

Acknowledgment & Acceptance - By enrolling and/or using the CoolProducts.com Rewards Program, you agree that you have read and understand this Visitor Agreement ("Agreement") and that your membership in CoolProducts.com Rewards Program shall conform to its terms and conditions.

CoolProducts.com reserves the right to send Members messages from time to time for which they may not be rewarded. Such messages may include Rewards updates; flash bulletins; administrative announcements; special requests and other similar messages ("Administrative Messages")-and may be sent via email or regular mail. Members can elect to stop receiving email through the CoolProducts.com Rewards Program, but cannot unsubscribe from these Administrative Messages while enrolled in the Program.

CoolProducts.com is under no obligation to provide Members with any particular number of commission-earning opportunities or send messages to them.

CoolProducts.com reserves the right to limit Rewards Program enrollment at any time. Member agrees to provide only true and accurate information to CoolProducts.com Rewards Program at all times.

Member agrees to comply with the terms of all CoolProducts.com Rewards Program offers, promotions, and programs at all times.

Member agrees not to abuse CoolProducts.com Rewards Program privileges by conduct which is detrimental to the interests of CoolProducts.com, including without limitation attempting to accrue commissions or redeem commissions in a manner inconsistent with the rules of CoolProducts.com Rewards Program or intent of this Agreement, having multiple accounts, attempting to earn commissions through other than legitimate channels, participating in purchasing or redemption fraud, or tampering with CoolProducts.com Rewards Program award links, etc.

CoolProducts.com Rewards Program reserves the right to terminate or disable, at CoolProducts.com's sole discretion, any CoolProducts.com Rewards Program membership if CoolProducts.com believes such Member has violated or acted inconsistently with the rules of the CoolProducts.com Rewards Program or intent of this Agreement. Member understands and agrees disabling of membership will result in Member's inability to redeem and/or earn commissions. Member understands and agrees termination of membership will result in the cancellation of all of Member's commissions due.

CoolProducts.com shall be the sole determiner in cases of suspected abuse, fraud, or violation of its rules and any decision it makes relating to termination of membership (including cancellation of commissions) shall be final and binding.

CoolProducts.com reserves the right to adjust your commission balance with award reversals for items returned or transactions not completed or cancelled. A pattern of placing orders followed by cancellations is construed as purchasing fraud and could result in the termination of your CoolProducts.com Rewards Program account. Commissions may be redeemed only through CoolProducts.com Reward Program at the time of redemption. CoolProducts.com is not responsible for lost or stolen rewards once issued. Rewards are subject to change at any time without notice.

The amount of commission required to redeem are subject to change at any time without notice. Member inquiries regarding rewards due and not received must be received by CoolProducts.com within 6 months after the initial redemption date. Thereafter, CoolProducts.com will have no obligation to re-send rewards to the Member. Commissions will be subtracted from Member's account once the redemption order is placed by the member and captured by the CoolProducts.com system.

Once used to claim a reward, commissions will not be reinstated to Member's redeemable account. In conjunction with redeeming commissions for rewards, Member agrees to confirm that all information in Member's personal profile is up-to-date and accurate.

Member agrees to promptly notify CoolProducts.com of any change in Member's address (mail or email) or personal user profile by updating his or her personal information in the My Profile section of the Website under User Profile. Member's discontinued participation in CoolProducts.com Rewards Program or failure to notify CoolProducts.com of any address (mail or email) or profile changes may result in the termination of Member's membership and forfeiture of Member's unredeemed commissions.

CoolProducts.com reserves the right to cancel or disable accounts and expire unredeemed commissions in those accounts that are inactive for a period of 12 consecutive months. Inactive shall be defined as lack of one of the following: website visit, email response (click thru), survey completion, profile update or any, shopping, commission or redeeming transaction.

CoolProducts.com reserves the right to limit the opportunities to earn commissions that are available to Member while Member remains inactive.

Member shall comply with all laws, rules, and regulations that are applicable to Member. Member acknowledges that Member may only participate in CoolProducts.com Rewards Program if and to the extent that such participation is permitted by such laws, rules, and regulations. CoolProducts.com refuses to enroll Member, or to restrict, modify, or terminate Member's participation in CoolProducts.com Rewards Program, without liability to Member or any other party, if Member violates any law, rule, or regulation, or if Member's participation in CoolProducts.com Rewards Program could violate any law, rule, or regulation.
Termination
AT ANY TIME EITHER MEMBER OR COOLPRODUCTS.COM MAY TERMINATE MEMBER'S MEMBERSHIP WITH OR WITHOUT CAUSE. MEMBER'S RIGHT TO USE MEMBER'S MEMBERSHIP IMMEDIATELY CEASES UPON TERMINATION AND MEMBER'S UNREDEEMED COMMISSION SHALL BE CANCELLED.

Termination of Member's membership by Member is effective upon Member submitting a termination request through the CoolProducts.com Web site located within the Close Account page found in the My Preferences area on the User Profile feature. Member understands that, in some cases, Member may still receive messages (which may have been scheduled prior to Member's termination) after termination. Member may not earn commissions after termination.

Should Member object to any of the terms and conditions of this Agreement, or any subsequent modifications thereto, or become dissatisfied with CoolProducts.com Rewards Program, Member's only recourse is to immediately discontinue participation in CoolProducts.com Rewards Program and properly terminate his or her membership. (See paragraph above).

CoolProducts.com reserves the right to terminate the membership of any Member who appears to be using CoolProducts.com Rewards Program in a manner inconsistent with this Agreement, the intent of this Agreement, or any CoolProducts.com Rewards Program rules.
Non-Transferability
Member's right to use CoolProducts.com Rewards Program is non-transferable.

Commissions are non-transferable and are void if transferred.

Member's membership will terminate immediately in the event of Member's death.

Commissions and/or rewards may not be bartered or sold.

CoolProducts.com Rewards Program accounts and Points are not transferable upon death or as part of a domestic relations matter or otherwise by operation of law.

Members are solely responsible for the reporting and payment of any tax liabilities incurred.
Use of Materials

Proprietary Rights to Content and other Intellectual Property - Member acknowledges that CoolProducts.com content (including but not limited to text, sound, photographs, graphics, or other material contained in any CoolProducts.com communication, advertisements, or messages, whether by CoolProducts.com or vendor affiliates are protected by copyrights, trademarks, service marks, patents, and/or other proprietary rights and laws; therefore, Member is only permitted to use content, service, or software as expressly authorized by CoolProducts.com, its advertisers and partners, as the case may be.

Modification – No Soliciting, No Spamming or Spimming, No Framing
